Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Aurum Practice Management platform and related services ("Service") provided by Aurum Practice Management ("Aurum," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you represent that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations, including HIPAA where applicable.
2. Description of Service
Aurum provides a cloud-based practice management platform for dental practices, including scheduling, patient charting, billing, insurance claim management, lab coordination, and analytics tools. The Service is provided on a software-as-a-service (SaaS) basis.
3. Account Registration
You must register for an account to access the Service. You agree to provide accurate and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use.
4. Subscription and Payment
Access to the Service requires a paid subscription. Subscription fees are billed monthly or annually as selected at the time of purchase. All fees are non-refundable except as required by law or as explicitly stated in a separate agreement. We reserve the right to change pricing with 30 days' advance notice.
5. Free Trial
We may offer a free trial period. During the trial, you have full access to the features included in your selected plan. If you do not subscribe before the trial ends, your account may be suspended and data may be scheduled for deletion after 30 days.
6. Your Data
You retain all rights to the data you enter into the Service ("Your Data"). You grant Aurum a limited license to host, store, process, and display Your Data solely to provide and improve the Service. We will not access, use, or share Your Data except as described in our Privacy Policy or as required by law.
7. HIPAA and Protected Health Information
If you are a covered entity under HIPAA, you acknowledge that Aurum may have access to Protected Health Information (PHI) in the course of providing the Service. We will enter into a Business Associate Agreement (BAA) with you upon request. You are responsible for ensuring your use of the Service complies with HIPAA and all applicable healthcare regulations.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to store or transmit malicious code
- Resell or sublicense access to the Service without our written consent
9. SMS Communications
The Service may include SMS notification capabilities for appointment reminders and practice communications. By enabling SMS features, you confirm that you have obtained proper consent from message recipients in compliance with TCPA, state regulations, and carrier requirements. You are solely responsible for the content and compliance of messages sent through the Service.
10. Intellectual Property
The Service, including all software, design, text, graphics, and other materials, is owned by Aurum and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term.
11. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors outside our reasonable control.
12. Termination
Either party may terminate the subscription at any time. Upon termination by you, your access continues until the end of the current billing period. Upon termination, we will make Your Data available for export for 30 days, after which it may be permanently deleted.
13. Limitation of Liability
To the maximum extent permitted by law, Aurum's total liability for any claims arising from or related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim. Aurum shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
14. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Aurum does not provide medical, legal, or financial advice through the Service.
15. Indemnification
You agree to indemnify and hold harmless Aurum from and against any claims, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Texas.
17. Changes to Terms
We may update these Terms from time to time. We will provide notice of material changes by posting the updated Terms on our website and, where possible, by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
